This End User License Agreement (the “Agreement”) applies to installed software, plugins, extensions, and related documentation (the “Product”) provided by LUCAMOTIVE (“LUCAMOTIVE,” “we,” or “us”) through its own website.

You can review this Agreement before purchase. By accepting it and lawfully acquiring, downloading, installing, activating, or using the Product, you agree to it to the extent permitted by applicable law. If you do not agree, do not install or use the Product and consult the applicable refund process.

1. Relationship of terms

  1. This Agreement governs the Product license between LUCAMOTIVE and the individual who actually uses the Product.
  2. Read this Agreement together with the features, price, supported environments, supplied version, and included update scope displayed on the Product page and purchase information at purchase. A change to the Product page alone does not reduce rights attached to an existing license.
  3. The Direct Sales and Account Service Terms govern accounts, downloads, and device management.
  4. Paddle’s Buyer Terms and Refund Policy and applicable law separately govern payment, tax, receipts, and refunds. Paddle is the seller for the payment transaction, while LUCAMOTIVE is the Product licensor.

2. License grant

  1. Subject to lawful acquisition and compliance with this Agreement, LUCAMOTIVE grants one named individual a limited, non-exclusive, non-transferable license to install and run the Product for lawful personal, commercial, and client work.
  2. Only that individual may use the license. An organization must purchase one product seat for each actual user and assign it to that person’s account. A seat may be assigned to one person at a time; concurrent or floating shared use is not included. Administrators may unassign or reassign seats. A revoked license ends at the next online verification or when an already issued offline license expires. Revoking an organization seat does not revoke a separately purchased personal license.
  3. The named user may activate the Product on up to two devices under that user’s control. Two-device activation does not authorize two people to share it.
  4. A Product identified on its Product page and purchase information as a one-time purchase with a perpetual license may be used without a time limit for the major version acquired. This does not promise every future major version, new Product, paid upgrade, support period, or compatibility with every future environment.
  5. A major version is identified by the first numeric component of the Product version. For example, a 1.x license includes maintenance and feature updates that LUCAMOTIVE generally releases within 1.x, while 2.x may be offered as a separate Product or paid upgrade. Where the supplied version and included update scope are expressly specified at purchase, those purchase terms apply.
  6. Adobe Marketplace, aescripts, and LUCAMOTIVE Direct entitlements are separate and cannot be transferred between or combined across channels. Products purchased through another channel are governed by that channel’s purchase terms and applicable license.
  7. All rights not expressly granted are reserved by LUCAMOTIVE.

3. Activation and offline use

  1. Download the installer from your LUCAMOTIVE Account to install the Product. First use and periodic validation require an account and internet connection.
  2. Personal and organization licenses allow offline use for up to 24 hours after the latest successful online validation. The Product attempts validation at startup and every four hours while running. A failed connection or restart does not extend this period. Offline licenses already issued under earlier terms may remain valid until their expiry; the new limit applies from the next successful validation.
  3. Activation may use an internal user ID, Product, entitlement and version, random installation ID, general device name, operating-system and host-app versions, and validation timestamps. Project, media, and timeline content is not uploaded for license validation.
  4. You may deactivate a device through the Account page. Reasonable rate limits may apply to device changes to prevent sharing. Contact support if a legitimate replacement is blocked.
  5. If entitlement ends because of a refund, reversal, chargeback, termination under this Agreement, or legally required action, activation ends immediately or at the next online validation.

4. Permitted outputs

  1. You may use the Product for personal work and lawful commercial or client work.
  2. You may reproduce, edit, deliver, publish, distribute, and commercially exploit videos, images, graphics, project files, and other final outputs created with the Product.
  3. LUCAMOTIVE does not charge an additional royalty or claim revenue sharing for lawful final outputs.
  4. You are responsible for obtaining rights required for third-party material, people, and marks in your outputs.

5. Restrictions

Except to the extent applicable law expressly permits otherwise, you may not:

  1. sell, resell, rent, share, transfer, redistribute, disclose, or sublicense the Product, installer, account, verification code, entitlement, or license;
  2. bypass, disable, defeat, or tamper with validation, device limits, protected downloads, or another technical measure;
  3. reverse engineer, decompile, disassemble, or attempt to extract source code, internal structure, or a non-public interface;
  4. copy or appropriate the Product’s code or reusable software components to create a competing product, derivative plugin, or software for resale;
  5. make an editable template, project, package, or similar item available to the public if it contains the Product or reusable Product components;
  6. remove copyright, trademark, or proprietary notices or use the Product for unlawful activity or infringement; or
  7. disrupt validation or distribution systems through automated requests, vulnerability exploitation, false device data, or another abusive method.

This section does not restrict the use of outputs permitted under section 4 or an activity that applicable law expressly permits for interoperability, security research, or consumer protection.

6. Ownership and third-party components

  1. The Product and documentation are owned by LUCAMOTIVE or the applicable rights holder. Purchase grants a license and does not transfer Product ownership.
  2. Rights in your project and lawful final output remain with you or the applicable rights holder.
  3. Open-source or third-party components governed by separate licenses remain subject to those licenses. Notices are provided with the Product or official documentation.
  4. Third-party product names and trademarks used to describe compatibility belong to their respective owners. Unless expressly stated otherwise, those third parties are not the licensors or technical-support providers of LUCAMOTIVE Products.

7. Updates, compatibility, and Product changes

  1. LUCAMOTIVE uses reasonable efforts to make the Product materially conform to its description in the supported environment listed on the Product page.
  2. We may provide same-major-version updates for security, error correction, host-application or operating-system compatibility, and feature improvements.
  3. LUCAMOTIVE does not control changes to or discontinuation of third-party platforms. Continued operation on every future host-application or operating-system version is not guaranteed.
  4. Because Product features may modify projects, media, or working files, you must back up important projects and media and review the result.
  5. Nothing in this section limits security or conformity updates and statutory remedies required by law.

8. Data and privacy

  1. The Privacy Policy governs personal data processed for accounts, activation, and downloads.
  2. The Product does not transmit your project, media, or timeline content to LUCAMOTIVE servers, including during license validation. The Product may read or modify local working files as needed to perform a feature you initiate. The applicable Product page and official documentation describe the files accessed, supported environments, and usage instructions.
  3. Paddle, Google, Adobe, and other third parties independently process certain data under their own policies.

9. Refunds, suspension, and termination

  1. You may request a refund within 14 days of the transaction date. Refunds are governed by the Direct-Sale Refund Policy, Paddle policy, and applicable law. This Agreement does not limit mandatory consumer rights.
  2. When a refund or payment reversal is confirmed, you must stop using the Product and delete installers and copies under your control.
  3. LUCAMOTIVE may terminate the license if you materially breach this Agreement and fail to cure the breach within a reasonable period after notice. No cure period is required for unauthorized redistribution, validation circumvention, payment fraud, or a breach likely to cause immediate security harm.
  4. Lawful final outputs created before termination may continue to be used unless they contain the Product itself or reusable Product components.
  5. You may appeal an account or license restriction at support@lucamotive.com.

10. Service discontinuation

A perpetual license does not expire for the acquired major version, but technical validation requires periodic server access. If LUCAMOTIVE permanently discontinues the validation service, subject to applicable law and technical feasibility, we will give reasonable advance notice and provide an available means of continued use, such as a final build that removes or reduces reliance on online validation, an alternative validation method, or a substantially similar measure. The discontinuation notice will describe the specific method and schedule.

11. Warranty and limitation of liability

  1. LUCAMOTIVE uses reasonable efforts to make the Product materially conform to its description and documentation.
  2. To the maximum extent permitted by law, the Product is provided “as is” and “as available,” without a promise of suitability for every purpose, uninterrupted or error-free operation, or compatibility with every future environment.
  3. To the maximum extent permitted by law, LUCAMOTIVE is not liable for unforeseeable indirect, special, or consequential loss or loss of business, revenue, profit, or data. Aggregate liability relating to the Product will not exceed the amount you actually paid for it.
  4. Nothing in this Agreement excludes or limits liability for fraud, willful misconduct, gross negligence, death or personal injury, statutory guarantees, mandatory consumer rights, or liability that cannot lawfully be excluded or limited.

12. General

  1. This Agreement is governed by the laws of the Republic of Korea. If you are a consumer, mandatory consumer-protection laws and non-waivable jurisdiction rights in your country or region continue to apply.
  2. If a provision is invalid or unenforceable, the remaining provisions remain effective.
  3. You may not assign this Agreement or license without LUCAMOTIVE’s prior written consent. LUCAMOTIVE may transfer it in a legitimate merger, acquisition, or business transfer provided that your essential rights are not reduced.
  4. Material revisions are published before they take effect and will not retroactively reduce rights attached to a completed purchase without a lawful basis.
  5. Mandatory local law and local-language display or interpretation requirements prevail over a conflicting translation provision.
